Brian Friedman

Chairman of the Board
Brian D. Friedman, our Chairman, has extensive experience in the real estate and investment industry. From December 2020 and October 2022, he served as Chairman and Chief Executive Officer of BOA Acquisition Corp (NYSE: BOAS), a $230 million Real Estate and Infrastructure focused SPAC, which successfully completed a business combination in 2022. Additionally, since October 2010, he has served as a Partner at Friedman Capital, a family office, leading the real estate and special situations investing practice.

Mr. Friedman is also a co-founder and Managing Partner of Foxhall Partners, a commercial real estate firm, and has served in this capacity since April 2010. Since 2016, Mr. Friedman has served on the board of KeySourceUSA, a generic drug distributor. He is a member of Urban Land Institute (“ULI”) and International Council of Shopping Centers (“ICSC”) and a strategic advisor to Amalgamated Casualty Insurance, supporting their real estate portfolio. Mr. Friedman is actively involved in the community, having co-founded the non-profit Adams Morgan Youth Leadership Academy and previously served as a board member of Washington Hebrew. He received his undergraduate degree and MBA from the Kogod School at American University. We believeMr. Friedman’s extensive experience in the real estate and investment industry, along with his leadership in both public and private companies, makes him well qualified to serve as our Chairman.

Benjamin Friedman

Chief Executive Officer
Benjamin A. Friedman, our Chief Executive Officer and Chief Financial Officer, currently serves as the Managing Partner of The Avery Companies, a private investment holding company focused on control and minority investments across Digital and Energy Infrastructure, Essential Services, Real Assets and Real Estate, since 2023. Mr. Friedman co-founded and serves on the board of directors for PhireLink, a leading rural fiber broadband internet services provider. Additionally, Mr. Friedman has also served a Partner at Friedman Capital, heading the corporate investing practice, since 2020. From December 2020 to October 2022, he served as President and Chief Financial Officer of BOA Acquisition Corp (NYSE: BOAS), a $230 million real estate and Infrastructure focused SPAC. Mr. Friedman was a Portfolio Manager at CQS, UK LLP, an $18 billion opportunistic credit hedge fund where he ran US credit investment strategies and a Senior Trader at Citigroup Global Markets focused on oil and gas infrastructure. He began his career at Bank of America Merrill Lynch in leveraged finance. He was named to Forbes Top 30 under 30 in 2017. Mr. Friedman received his undergraduate degree from the University of Pennsylvania, graduating Magna Cum Laude. We believe Mr. Friedman is well qualified to serve as Chief Executive Officer and Chief Financial Officer due to his extensive experience in public and private financial markets, including specializing in infrastructure investments across sectors and products.

Dean A. Friedman

Dean Friedman, Director, is an accomplished investor and brings over 40 years of executive management experience in public and private markets. He is currently the Managing Partner of Friedman Family Partners, a private family-owned investment holding company, where he oversees a diverse portfolio of public and private investments across the media, healthcare, and real estate sectors and has served in this capacity since January 2005. Mr. Friedman formerly served as the Chairman and CEO of Real Integrated, a leading advertising agency prior to its sale in 2023. Prior to acquiring Real Integrated in 1992, Mr. Friedman was a Board Member and major shareholder of W.B. Doner & Co., at the time the world’s largest independent advertising agency, where he led their international business portfolio. Mr. Friedman has served on the boards of public and private companies in the Consumer, Media, and Financial industries. He is a founder of Franklin Bank and served as a Director through the Company’s IPO and ultimate sale to a larger bank. Mr. Friedman was also an early investor in The Harvard Drug Group and steered the company through two private equity exits and eventual sale to Cardinal Health. Mr. Friedman received his B.A. from the University of Michigan. We believe Mr. Friedman’s extensive experience investing in and overseeing real estate businesses, together with his record of leadership in public and private companies, makes him well qualified to serve on the board of our company.

Jason Kahan

Jason Kahan, Director, is a seasoned investor and executive with over two decades of experience investing in the infrastructure and real assets space. He is the Co-Founder and Partner of Lightfield Partners, a specialty finance company focused on renewable energy and digital infrastructure, and has served in this capacity since October 2023. At Lightfield, Jason leads capital formation and financial strategy. Since January 2025, he also serves as a strategic advisor to CERO Energy, a waste-to-energy technology company focused on the production of sustainable aviation fuel and other renewable fuels. Prior to founding Lightfield, Jason held senior investment roles at Basalt Infrastructure Partners between January 2019 and March 2023, Ares Management between January 2015 and December 2018, and Energy Investors Funds between December 2013 and December 2014, where he structured and executed transactions across the power, energy, digital and transportation infrastructure sectors. He began his career in investment banking at Citigroup and Société Générale. Jason graduated from the Jerome Fisher Program in Management & Technology at the University of Pennsylvania, receiving Bachelor of Science degrees from The Wharton School and the School of Engineering and Applied Sciences. We believe Mr. Kahan’s deep expertise in infrastructure and real assets, including renewable energy and digital infrastructure, provides valuable experience in identifying and evaluating acquisition opportunities in the real estate sector, making him well qualified to serve on our board.

Jared Berlin

Jared Berlin, Director, is currently a Partner at Thames Capital Management, a global investment fund focused on public equities. He has over 25 years of experience in institutional public equity investing, specializing in technology, business services, and industrial end markets. Prior to co-founding Thames Capital Management in 2016, Mr. Berlin held senior investment roles at Citadel Securities, Cobalt Capital and was a Senior Analyst at Cantillon Capital Management from 2003 to 2011, a global equity long/short fund with over $10 billion in assets under management. From 1998 to 2003, he served as an Analyst at Geo Capital, a multi-billion-dollar investment firm based in New York specializing in small-cap public equities, with an emphasis on technology and business services. Mr. Berlin earned his undergraduate degree from the University of Wisconsin — Madison in 1997. We believe Mr. Berlin’s extensive background in institutional public equity investing, with a focus on technology, business services, and industrial end markets, brings significant financial and analytical expertise that makes him well qualified to serve on our board.

Jonathan Sassover

Jonathan Sassover, Director, has served as a Managing Partner and Co-Founder of The Pine Street Group since December 2018. He is responsible for identifying, sourcing and executing on the firm’s investments, in addition to focusing on post-acquisition integrations and operational improvement initiatives at portfolio companies. Since December 2018, Jonathan has also served as the co-chairman and co-founder of Prime Providers, a multi-disciplinary home and community services agency based in Southern California. Prior to founding The Pine Street Group he was an investment professional at Alden Global Capital, a multi-billion dollar event-oriented & distressed investment firm where he focused on investing in the healthcare, industrials, financial services, and media sectors. Jonathan began his career as an investment banker at the Credit Suisse Group where he worked in the Financial Sponsor Group focused on financing transactions for private equity owned companies. Jonathan received a Juris Doctor from Columbia Law School (James Kent & Harlan Fiske Stone Scholar) and a Bachelor of Arts from the University of Pennsylvania (magna cum laude). He is admitted to practice law in the state of California. We believe Mr. Sassover is well qualified to serve as a director due to his extensive investment and leadership experience.

Seth Schorr

Seth Schorr, Director, has served as CEO of Fifth Street Gaming and Chairman of the Downtown Grand Hotel & Casino, overseeing a diverse portfolio of casinos, restaurants, and entertainment venues, since 2011. Schorr’s career began in 1991 with leadership roles at iconic properties including Wynn Resorts, Bellagio, The Mirage, and Treasure Island. Schorr founded the Nevada Gaming Control Board’s Esports Technical Advisory Committee, which helped establish the regulatory framework for legal esports wagering in Nevada. Schorr co-founded GMA Consulting, a leading gaming, hospitality, integrated resort and sports & entertainment research and consulting firm. He also co-founded Evenplay, a platform that merges real-money wagering with skill-based competition across virtual sports. In 2017, Schorr launched BettorView, a patented media platform delivering sports betting content to casinos, bars, and stadiums nationwide. Building on his ability to identify underserved markets, he also founded JefeBet in 2021, a multimedia and entertainment brand focused on the U.S. Latino community. Schorr also served on the board of directors of Skillz Inc., a leading eSports gaming platform, between August 2022 and September 2024. Beyond gaming, he leads Dunbar, an unclaimed property services company, and founded the UNLV Incubator to support early-stage technology startups. A graduate of the University of Pennsylvania, Schorr is an active member of Young Presidents Organization (“YPO”) and currently serves on several civic and cultural boards, including the Nevada State Board of Museums and History and the Downtown Las Vegas Alliance. Schorr holds Bachelor of Arts degree in History from the University of Pennsylvania. We believe Mr. Schorr is well qualified to serve as a director due to his extensive governance experience, having served on multiple public company boards in both the United States and Canada. His board service, combined with his operational leadership, provides a unique perspective across industries ranging from hospitality and gambling to financial services and technology.
